BYLAWS

CHAPTER I - PURPOSE The By-Laws of the Blackhawk Area Soccer Association has been adopted as amendments and clarifications of the Blackhawk Area Soccer Association Constitution. These By-Laws are considered part of the club Constitution and shall remain in effect as defined within the Constitution.
CHAPTER II - STANDING COMMITTEES
The Board of Directors may create such standing
committees, as it may deem necessary to promote the
objectives and carry on the work of the association.
The power to form special committees and appoint
their members rests with the Board of Directors. The following Committees and Chairman thereof shall be designated Standing Committees for the duration of the Seasonal Year. Their function shall be advisory to the Board of Directors.
1.
Rules, Appeals, and Discipline Committee
The Chairman of the Rules, Appeals, and Discipline
Committee shall be the Vice President of the
association. This committee shall have the Coaching
Director, the Registrar, the Referee Coordinator and
the Classic
League/Equipment Coordinator as members.
1.1. The function of this committee will be:
1.1.1.
To review, develop, and interpret all rules and regulations
applicable to the playing of
competitive and non-competitive soccer within the
jurisdiction of B.A.S.A.
1.1.2.
To recommend to the Board of Directors any desired changes
in the Rules and Regulations
governing the conduct of soccer games played within
the jurisdiction of B.A.S.A.
1.1.3.
To consider and adjudicate cases arising from protest,
appeals, alleged misconduct arising
before, during, or after any soccer game sponsored,
conducted, or sanctioned within the
jurisdiction of B.A.S.A.
2.
Coaching Committee The Chairman of the Coaching Committee shall be the Coaching Director of the association. This committee shall have the Travel Coordinator, the Vice President, and the Referee Coordinator as members.
2.1.
The
function of this committee will be:
2.1.1.
To oversee the
solicitation, selection, and activities of all
coaches.
Board.
2.1.3.
To improve the quality
of B.A.S.A. coaching through constructive
suggestions.
2.1.4.
To admonish coaches with
the approval of the Board, who fail to behave
responsibly and
within the guidelines of the
association.
3.
Budget and Financial Committee
The Chairman of the Budget and Financial Committee
shall be the Treasurer of the association. This
committee shall have the Concessions Coordinator,
President and Coaching Director as members. 3.1. The function of this
committee will be:
3.1.1.
To review income and expenditure patterns for the current
Fiscal Year.
3.1.2.
To develop recommendations for a long term financial
plan and proposed budget for the
3.1.3.
To develop recommendations for fee structures of
members to meet the financial
3.1.4.
All recommendations shall be made to the Board of
Directors prior to March 31st of a
FiscalYear.
4.
Classic Committee
The Chairman of the Classic
Committee shall be the Classic League/Equipment
Coordinator of the association. This Committee shall
have the vice-President of the Club as a member. It
is preferred that at least one member of each area
Club represented on a Classic Team also be a member
of this committee. It is also preferred that the
General Manager of each Classic Team be a member of
the Committee. The Classic League Committee will be
required to maintain a separate checking account and
the Treasurer is to maintain such
“account”.
4.1.
The function of this Committee will be:
4.1.1.
To schedule annual tryouts for each Classic League Team.
4.1.2.
To expand the level of competition and enhance the skills
of the players on each team.
4.1.3.
To encourage each team to enter and participate in
seasonal tournaments.
4.1.4.
To schedule year round competition for each team.
4.1.5.
To develop recommendations for structures of the Classic
Teams. 4.1.6. To present to the Registrar the appropriate forms and required paperwork registration.
CHAPTER III - PLAYING DIVISIONS B.A.S. A. will sponsor competition in several age groups and competitive divisions for both boys and girls. The divisions will consist of 'In-House' (as defined by U.S.Y.S.A.) ‘Traveling Teams’ and 'Classic Leagues'.
1.
In-House
The In-House playing division
will consist of
Two
Non-competitive leagues: Micro-Soccer and In-House.
These leagues will not travel and will play weekly
amongst the other teams, which make up the league.
These leagues are broken down as follows:
1.1.
Micro-Soccer
The Micro-Soccer Division will be a non-competitive
group and will consist of players in the
under 6 and under 8 age groups. Any teams formed may
be coed teams. These divisions will be established
for the sole purpose of educating younger players in
the fundamentals of the game.
1.2.
In-House
The In-House Division will be a
non-competitive age group and will consist of
players in the under 10, under 12, and under 14 age
groups. Any teams formed may be coed teams. These
divisions will be established to further
develop fundamental soccer and prepare the players
for a higher level of play. Every player should be
given equal playing time.
2.
Traveling Teams The Traveling Division will consist of players in the under 10, under 12, under 14, under 16, and under 19 age groups. Any teams formed may be coed teams. All players will be encouraged to play at least one season in the In-House program prior to competing on a Traveling team. These divisions will be established to further develop fundamental soccer and prepare the players for a higher level of play. Traveling teams are established as a competitive league for the purpose of enhancing a player’s skill. All players are guaranteed playing time; however, equal playing time is not guaranteed. B.A.S.A. Travel Soccer Guidelines will be followed for travel teams and travel players skill recommendations.
3.
Classic League
The Classic division may
consist of players eleven (11) years old and higher
only. Classic League teams will not be formed as
coed teams.
All players will be
required to play at least one season in the
Traveling
program prior to trying out for a Classic team. The
Classic division is the highest level of play
sponsored
by
B.A.S. A. The purpose of the Classic division is to
provide an opportunity for advanced players to
compete against and to learn from others of similar
abilities. Classic teams are established as a higher
level of competitive play. These teams are formed to
allow players with well-developed skills to compete
at a higher level and
prepare them for future growth. Players are
guaranteed playing time based on their
individual skills.
CHAPTER IV – TEAM ORGANIZATION
1.
In-House Teams All teams will be organized through a yearly draft system. In the Fall session, all players will be given the opportunity to register for the Spring session also. Players that do not register in the Fall session will not be guaranteed to play on the same team in the Spring session. Any player vacancies in the Spring session will be filled by new players and any players that did not re-register from the Fall session. If a Sufficient amount of new players are enrolled in the spring session, a new team shall be formed and incorporated into play. 1.1 Draft
A blind draft will be performed prior to the
beginning of each fall session and as necessary for
the spring session of the same Fiscal Year. Players
will be firstly sorted by age to ensure equality
among all teams. The draft will be conducted by the
registrar and vice president "Head Coaches” will be
given
the option of including their
own child or children on their own team. The head
coach may request
one (1) specific assistant coach. 1.2 Tryouts
There will no Tryouts for any of the In-House
programs.
2.
Travel Teams
Travel Teams in any age group will
be organized or reorganized based on the results of
registration before
each session (Fall or Spring).
All
Travel teams must follow the rules and regulations
set forth by PA West and B.A.S.A. travel Rules. 2.1 Tryouts Tryouts will be held as scheduled by the Board. The Coaching Committee, at least one member of the Rules Committee and the team Head Coach will coordinate tryouts. The criteria for player selection will be explicit and as set forth by the Rules committee. The goal of the Travel team selection is to field the best possible players to represent B.A.S.A. 2.2 Dual Rostering
Players may dual roster on Travel
teams (following PA West rules) only if space is
available. The
player seeking to dual roster must designate a
Primary and Secondary team. The first commitment of
any dual rostered player is always to their Primary
team. The dual rostered player can not remove a
player from the secondary team that is rostered on only
one team.
3. Coaches
Any individual interested in serving as a coach may
petition the B.A.S.A. Board. The Coaching Committee
will
recommend coaches
accordingly. The Coaching Committee shall monitor
the activities of all coaches and ensure that they:
3.1.
Act with and encourage fairness and sportsmanship.
3.2.
Interact with players,
referees, board members and other coaches
in a positive manner.
3.3.
Communicate with parents.
3.4.
Comply with B.A.S.A. policies and procedures.
3.5.
Comply with PA West Risk Management Guidelines.
3.6.
Travel coaches must submit a resume of qualifications and
experience to a B.A.S.A. board member or the
coaching committee in
order to be considered for a Traveling Coach
position. 3.7. All coaches are not guaranteed to keep their positions through both fall and spring seasons and may be replaced as recommended by the coaching Committee. However, the incumbent coach will have priority.
CHAPTER V- CANCELLATIONS
Pre-game cancellations of games are handled by the President or
Board Members. If at game time, the field or
weather conditions are deemed unsafe or unplayable by the referee,
the game may be canceled.
If In-House games or Travel games are not completed due to
severe weather, the President or Board Members will make a
decision on whether or not to reschedule said game. The
association may reschedule all these canceled games as circumstances
permit.
CHAPTER VI - AMENDMENTS TO THE BY-LAWS
The By-Laws may be amended, repealed, or suspended, in whole or in
part by a two-thirds vote of the
membership
present at any duly called meeting of the general membership,
provided a quorum is present as
outlined in
Article IV of The Constitution. Proposals to amendment or repeal of
the By-Laws must be made in
writing and
submitted to the Secretary of the B.A.S.A. thirty (30) days in
advance of such meeting, so as to
permit all
members prior consideration of the proposals fourteen (14) days in
advance of the meeting. 06/29/09
CONSTITUTION
ARTICLE I – NAME This organization shall be known as the Blackhawk
Area Soccer Association (B.A.S.A.), hereafter referred to as the
association.
ARTICLE II –
PURPOSE The purpose for which B.A.S.A. is organized is to
provide nonprofit, public, recreational and educational soccer
competition for boys and girls. The association will attempt to
develop soccer skills of the younger players and to establish a
higher level of play to be competitive with other club teams for the
older players. The association is an organization that is unbiased
with respect to sex, creed, religion, or national origin. The success and growth of the association is
primarily dependent upon parental involvement, participation, and
assistance.
ARTICLE III –
AFFLIATION B.A.S.A. shall be an affiliate of the United
States Youth Soccer Association (U.S.Y.S.A.), the United States
Amateur Soccer Association (U.S.A.S.A.), the United States Soccer
Federation (U.S.S.F.), the Federation International de Football
Association (F.I.F.A.), and the PA West Soccer Association. Its Constitution , By-Laws, and Rules &
Regulations shall govern B.A.S.A. The association will maintain
autonomy; but will adhere to the Constitution, By-Laws, and
Regulations of the PA West Soccer Association in all matters
pertaining to competition sponsored by the PA West Soccer
Association. B.A.S.A. is a self-sustaining soccer organization
that is not connected with, nor subsidized by, County/Municipal
Government or the Blackhawk Area School District. Funding for
association activities comes primarily from registration fees and
possible outside contributions. The B.A.S.A. Board may undertake
fund raising projects, as the need arises, pending approval of a
two-thirds majority vote of the existing Board Members.
ARTICLE IV –
MEMBERSHIP Membership in B.A.S.A. shall be open to all
parents or legal guardians of participating players registered with
the association during each Seasonal Year or any association
volunteer approved by the Board. A Seasonal Year (fiscal) of the
association shall begin on July 1 and end on June 30 of the
following calendar year. The Constitution, By-Laws, and Rules &
Regulations shall be in effect during the entire twelve (12) months
of the Seasonal Year. For the purposes of voting in the association,
all members are considered to have one (1) vote each, regardless of
the number of their children registered within the organization, at
all special and general membership meetings. Each Board Member shall
also have voting rights at these meetings and no person shall have
more than one (1) vote at any meeting. A member must be present at
any General Membership or Special Meeting to vote. There should be at least one (1) General Meeting
of the membership during each Seasonal Year, one (1) of which shall
be designated as the Annual General Meeting. The President shall
call the Annual General Meeting with the concurrence of the Board,
in June of each Seasonal Year. With respect to all General Meetings,
notification to all members shall be given in writing by the
Secretary no less than fourteen (14) days in advance of the
scheduled date. Such notification shall include an Agenda, and
proposed Amendments to the Constitution and the By-Laws, and with
respect to the Annual General Meeting, a ballot of nominees of
candidates for elective office and a copy of the proposed budget and
fee structure for the succeeding year. The order of business at General Meetings shall
be as follows:

Reading of the Minutes of the previous General Meeting
3.
Acceptance of those Minutes
4.
Reports of the President, Treasurer, Secretary, Registrar, and
Concessions Coordinator
5.
Proposals for Amendments to the Constitution and By-Laws
6.
Election of Officers (for the Annual General Meeting)
7.
New Business
8.
Adjournment A quorum for any meeting of the membership must
constitute the following: the number of members (non-officers)
present must be at least one (1) greater than the number of officers
present. Officers elected at the Annual General Meeting in
June shall take office on July 1 of the new Seasonal Year. The President, as may be required from time to
time, may call special meetings of the membership, with the
concurrence of the Board, or whenever the President is requested to
do so by at least forty percent (40%) of the coaches. When the
President is so requested to call a Special Meeting, such meeting
shall be held within twenty-one (21) days of the request. For all
such meetings, the standard of notice, voting and quorum shall be as
for a General Meeting.
ARTICLE V – BOARD
OF DIRECTORS The government of the association, with the
authority se out herein and in the By-Laws, shall be vested in a
governing body known hereafter as the Board of Directors or the
Board. The Board shall consist of the following positions:
President
Registrar
Concession Coordinator
Equipment Coordinator
Vice President
Coaching Director
Classic League Coordinator
Volunteer Coordinator
Treasurer
Referee Coordinator
Travel Team Coordinator
Fields Coordinator
Secretary
The Board of Directors shall be charged with the
responsibility of managing the activities of B.A.S.A. through the
entire Seasonal Year and their respective term. The Board shall meet
a minimum of once a month or ad deemed necessary by the Board. A
two-thirds majority of the existing Board Members will constitute a
quorum for any meeting of the Board of Directors. All decisions of the Board are final unless
appealed to a Special Meeting of the membership of the association,
and overruled or modified by the Special Meeting, all as provided in
Article IV. Vacancies occurring on the Board at the end of
the Seasonal Year shall be filled by an election held by the
membership at the Annual General Meeting. Any person elected to an
office on the Board for a single term shall serve in that position
for a period not to exceed three (3) years. Each Board member may be
elected to a consecutive term or additional terms upon expiration of
their elected term. The duties and responsibilities of the Board
Members both individually and collectively shall be a provided in
Article VI. Any vacancies occurring on the Board during the
Seasonal Year shall be filled by appointment of a new member by the
Board and confirmed by a two-thirds majority of the Board. Such new
Board members arising from vacancies shall continue in that position
until the scheduled expiration of the vacated position for which
they are appointed. Any member of the Board may be removed from
office and relieved of all duties for malfeasance, neglect of duty,
or missing three (3) Board meetings in succession, by a two-thirds
majority vote of the Board.
ARTICLE VI –
DUTIES AND RESPONSIBILITIES OF THE BOARD The Board of Directors shall be responsible and
have the final authority, except as otherwise provided, to:

Enforce and interpret the Constitution, By-Laws, and Rules and
Regulations of B.A.S.A.
·
Define and establish all Rules and Regulations for B.A.S.A.
·
Create new Playing Divisions within the
jurisdiction of
B.A.S.A. when such action is deemed
appropriate
·
Create Standing Committees such as the Membership Committee, the
Budget and Financial Committee, the Rules, Appeals, and Discipline
Committee, Classic League Committee, and any other Ad Hoc Committee
deemed appropriate
·
Establish an approved budget for the succeeding Fiscal Year and
stipulate all fees to be levied on the membership for the succeeding
Fiscal Year
President The President shall act as chairman and chair all
meetings of the Board of Directors and all membership meetings. The
President shall act on behalf of the association as he or she deems
necessary; however, all actions are subject to later ratification by
the Board of Directors. The President shall have one (1) vote at all
meetings in which he or she acts as chairman and that vote may only
be cast to break a tie. The President has the right, with
concurrence of the Board, to form new committees as needed and may
be a member of all committees with the exception of the Rules,
Appeals, and Discipline Committee.
Vice President The Vice President shall assume all duties of the
President in the absence of the President. The Vice President shall
chair the Rules, Appeals, and Discipline Committee and shall be a
member of the Classic League Committee.
Secretary The Secretary shall be responsible for keeping an
accurate record of all meetings of the Board, General and Special
Meetings of the membership, as well as all voting results. The
Secretary direct that the Minutes of all meetings be distributed to
the Board of Directors and keep the official calendar of the
association. The Secretary shall send or oversee the written
announcement of all meetings of the association. The Secretary shall
direct all publications of the association and their related
activities. The Secretary shall oversee the membership distribution
list and publication mailing list.
Treasurer The Treasurer shall oversee the keeping of
detailed accounts of all financial transactions of the association
and the collection of all debts and fees owed by the association.
The Treasurer shall oversee the collection of all receipts and
direct receipts to be issued for collection. The Treasurer shall
recommend to the Board of Directors which banking institution the
association shall deal with and any changes that need to be
instituted in said accounts. All debits or other obligations of the
association shall be paid by the Treasurer or with the Treasurer’s
approval. All obligations paid by check shall bear the signature of
the Treasurer and one (1) of the following Board members: President,
Vice President, Secretary, or Registrar. The Treasurer shall work with the Board of
Directors and the Budget and Financial Committee to audit all
financial activities on a periodic basis. The Treasurer shall
oversee the preparation of a monthly financial statement for
distribution to the Board of Directors. This shall accompany the
meeting agenda for the regularly scheduled monthly meeting. The Treasurer shall oversee the financial report
for the General Meeting and shall oversee the preparation of the
final financial statement to the membership at the end of the fiscal
year. The Secretary shall keep copies of all financial reports.
Registrar The Registrar shall oversee the keeping of a
complete record of all teams and players for the purpose of player
registration, team affiliation, and fee assessment. The Registrar
shall oversee the preparation of a monthly update on all the above
records, as deemed necessary by the Board of Directors, for use by
the Board of Directors. The Registrar shall oversee an audit statement
that shall be sent to the affiliates to ascertain the accuracy of
the state records. The Registrar shall oversee all player insurance
activities that occur. The Registrar shall be a member of the Rules,
Appeals, and Discipline Committee.
Coaching Director The Coaching Director shall chair the Coaching
Committee, recommend to the Board coaches within each age group to
be Age Group Coordinators, assist the coaches in each age group as
necessary, and assume any other responsibilities and duties as
directed by the Board. The Coaching Director shall be a member of the
Rules, Appeals, and Discipline Committee, chair the player draft
process, and be a member of the Budget and Financial Committee.
Referee Coordinator The Referee Coordinator shall be responsible for
recruiting, training, and proper certification of all association
referees “as necessary”. The Referee Coordinator shall be
responsible for assigning and assessing all referees for events
sanctioned by the association. The Referee Coordinator shall promote the
advancement and upgrade the level of performance of all association
referees who serve B.A.S.A. The Referee Coordinator shall be an
active member in the United States Soccer Federation (U.S.S.F.) in
an effort to maintain an up-to-date knowledge of referee activities
and requirements.
Fields Coordinator The Fields Coordinator shall be responsible for
the maintenance of the playing fields, installation of equipment,
distribution of playing equipment and associated materials. The
Field Coordinator shall also act as the liaison between the B.A.S.A.
and the owner of all the association’s practice and game fields. The
Fields Coordinator shall assume any other responsibilities and
duties as directed by the Board.
Concessions Coordinator The Concessions Coordinator shall oversee the
keeping of a detailed record of all activities and transactions
associated with the B.A.S.A. concession stand. The Concessions
Coordinator shall order, inventory, and maintain all supplies
associated with the B.A.S.A. concession stand. The Concessions Coordinator shall work with the
Board of Directors and the Budget and Financial Committee to audit
all financial activities on a periodic basis. The Concessions
Coordinator shall oversee the preparation of a monthly financial
statement for distribution to the Board of Directors. This shall
accompany the meeting agenda for the regularly scheduled monthly
meeting. The Concessions Coordinator shall assist with the
financial report for the General Meeting and shall assist with the
preparation of the final financial statement to the membership at
the end of the Fiscal Year. The Secretary shall “keep copies of all
financial reports”. The Concessions Coordinator shall be a member of
the Budget and Financial Committee.
Volunteer Coordinator The Volunteer Coordinator shall be responsible
for recruiting, training and overseeing all volunteers who may be
used from time to time to aid in the administration, operation or
and other task that the Board may deem necessary in the daily
operation of B.A.S.A.
Travel Team Coordinator The Travel Team Coordinator shall oversee the
activities of all the Travel Teams, act as the liaison for the
association with the Travel Teams and League, and assume any other
responsibilities and duties as directed by the Board. The Travel
Team Coordinator will oversee the player tryouts and skills
demonstrations for all the Travel Teams.
Equipment Coordinator The Equipment Coordinator shall oversee the
purchasing, and managing all equipment belonging to B.A.S.A. This
shall include, but is not limited to, purchasing and keeping and
inventory of balls, nets, goals, field paint, and uniforms for
in-house, travel, and classic teams.
Classic League Coordinator The Classic League Coordinator shall oversee the
activities of all the Classic League Teams, act as liaison for the
association with the Classic League, and assume any other
responsibilities and duties as directed by the Board. The Classic
League Coordinator shall chair the Classic League Committee, be a
member of the Rules, Appeals, and Discipline Committee, and oversee
the player tryouts for all the Classic Teams.
ARTICLE VII –
PLAYING DIVISIONS B.A.S.A. will sponsor recreational and
competitive age groups and divisions for both boys and girls. The
age groups and divisions will consist of “In-House” (as defined by
U.S.Y.S.A.), “Traveling Teams” and “Classic Leagues”.
1.
All In-House recreation will be established primarily as
developmental and educational programs. The In-House program will be
further divided to include “Micro-Soccer” age groups, as defined by
U.S.Y. S.A.
2.
Travel Team competition will be established as a higher level of
skills and will compete with other area organizations to further
develop players’ skills.
3.
Any Classic League Teams established would represent the highest
level of inter-district organization play sponsored by B.A.S.A.
ARTICLE VIII –
DISCIPLINARY ACTION The Board shall have the right and authority to
suspend, expel, or otherwise discipline any individuals (players,
coaches, managers, assistants, officials, or parents) of any
association team. As a result of disciplinary action, the Board of
Directors also has the right and authority to suspend voting
privileges for any member of the General Membership, based upon the
recommendation of the Rules, Appeals, and Discipline Committee. The right and authority of the Board to take such
actions shall apply where any individual or member of the
association has violated the Constitution or Rules and Regulations
of B.A.S.A. Such action may be based wither upon an original
complaint or upon the Board’s discretion. The Rules, Appeals, and
Discipline Committee shall adjudicate all matters pertaining to
alleged misconduct or violation of the Constitution or Rules and
Regulations.
ARTICLE IX –
AMENDMENTS TO THE CONSTITUTION The Constitution may be amended, repealed, or
suspended, in whole or in part, by a two-thirds majority vote of the
membership present at any duly called meeting of the general
membership, provided a quorum is present as outlined in Article IV.
Proposals to amendment or repeal of the Constitution must be made in
writing and submitted the Secretary of B.A.S.A. thirty (30) days in
advance o such meeting, so as to permit all members’ prior
consideration of the proposals fourteen (14) days in advance of the
meeting.
The By-Laws and Rules & Regulations will be hereafter adopted. They
may be amended or repealed in whole or in part, in the manner
provided therein.
ARTICLE X –
DISSOLUTION Upon the dissolution of B.A.S.A., the Board of
Directors shall, after paying or making provision for the payment of
all thee liabilities, dispose of all assets of the association to a
named recipient, foundation, corporation, or fund exclusively
organized for the purpose as stated in Article II.
